How to Join the Circle of Experts

To join the Nitron Circle of Experts, please email a brief biography which contains all of the following information.  Your submission of an application indicates your acceptance of the Terms and Conditions below.

  4. Hourly consulting rate (You determine the rate.  We suggest that you choose a reasonable rate, as we are more likely to call those Experts who charge a more reasonable rate.  Please specify an exact number, not a range.)
  5. Best hours and days of availability for consulting
  6. Areas of deepest expertise
  7. Degrees (list school, degree, and area of study)
  8. Board certifications or other professional certifications, if any
  9. Text biography, in the following format:

Jonathan Ploni, MD, is Chief of Surgery at Oxvard Medical School.   Dr. Ploni is one of the industry's leading experts in craniofacial plastic surgery.  Dr. Ploni has consulted for such firms as Pfizer and Johnson & Johnson.  He holds a Harvard MD and BA.

Terms and Conditions

Following are the terms and Conditions to join the Nitron Advisors Circle of Experts. By submitting your application form, you agree to be bound by these Terms and Conditions. You should carefully read the Terms and Conditions, which may only be changed by written agreement of the parties. By clicking the "I agree" button, you agree to be bound by the Terms and Conditions and are indicating that you are at least eighteen years old and have the legal authority to accept the Terms and Conditions. This is a legally binding agreement.

Background

The Nitron Advisors Circle of Experts is a network of practitioners and industry members in medicine, biomedical research, and healthcare services (along with professionals in non-healthcare related fields). Members include practicing physicians and surgeons, research scientists, professors, hospital administrators, research nurses and coordinators, industry executives, product developers, purchasers and managers, and FDA and patent attorneys.

Our clients are investment managers and firms who are performing research in the health care industry. Based on our clients' needs, Nitron will contact appropriate members of the Circle of Experts to ascertain whether such member is available for a consulting project (i.e., telephone conversations, online surveys, discussion groups.) All consulting projects with Nitron’s clients are at member’s discretion. Members of the Circle of Healthcare Experts are never obligated to accept a consulting project and may refuse to participate.

Guidelines

Violation by you of the following guidelines set forth below may result in immediate termination of your consulting relationship with Nitron.  If in the course of a consultation you believe that a Nitron client may be causing you to violate a guideline set forth below, you must stop the consultation and immediately inform Nitron.

Confidentiality

Nitron agrees not to disclose to unknown parties the names or contact information of members of the Circle of Experts, unless a member provides consent. You must agree to maintain all “confidential information” of Nitron and Nitron’s clients confidential. "Confidential Information" includes, but is not limited to: the contents of any consultations, surveys or other projects performed for Nitron clients and the name of the client or the client’s employer. You also agree not to communicate or divulge the confidential information of any consultations, surveys or other projects to any third party.

Conflicts of Interest

You must decline to participate in any consultation or any other activity that presents a conflict of interest or a perceived conflict of interest or cause you to breach any agreement with another entity. You must also decline to continue to participate in any consultation or any other activity if continuing would present a conflict of interest or a perceived conflict of interest. If you are unsure if you are violating an existing agreement, you must check with the party with whom you have the agreement that provokes the conflict of interest. In accordance with Federal securities laws, members must not disclose or communicate any material non-public information.  

Consultations

Members requested to provide a consultation to our clients should either accept or decline the consultation within 24 to 48 hours.  Accepted consultations should be scheduled within five business days. We expect that all consultations you provide shall be performed in a timely, diligent and professional manner consistent with highest industry practice.

Payment

Members are paid based on their customary consulting fees.  Our payment system may accommodate consulting guidelines set forth by a member’s employer, including joint payment to the expert and his or her employer, direct payment to the expert's institution, or payment to a charity of the expert's choice. Members will receive a U.S. I.R.S. Form 1099 for any payments. Payments will be made within 15 days and should be requested through the Circle of Experts website (www.circleofexperts.com), or by e-mail to payments

Independent Contractor

It is understood and agreed that any services performed by you hereunder shall be performed as an independent contractor and consultant. You shall not be deemed to be an employee of Nitron or any Nitron client and you shall not be entitled to any benefits provided by either Nitron or a Nitron client. You agree that you shall be personally responsible for any and all taxes and other payments due on payments received by you hereunder.

Copyright

All material on Nitron’s Website, whether explicitly marked or not, is protected by copyright. By posting material (i.e., surveys), members expressly grant Nitron the non-exclusive right to publish, broadcast, copy, distribute, and make available for download such material, whether alone or in combination with other materials. Members may download material from Nitron's Web site for their personal, noncommercial Use.  Nitron owns the copyright on any text, which a Member mails to Nitron, unless such content is explicitly labeled as having been previously published in a publicly-accessible format and/or another party owns a copyright to such text. 

Indemnification

You agree to indemnify, defend, and hold the Company and its successors, officers, directors, agents and employees harmless from any and all actions, causes of action, claims, demands, cost, liabilities, expenses and damages (including attorneys' fees) arising out of, or in connection with any breach of this Agreement by Contractor.

 Arbitration

Any dispute, controversy or claim relating to this Agreement shall be finally settled by an arbitration held in New York City under the rules of the American Arbitration Association (the "AAA") in effect from time to time. The arbitrator may grant any remedy that he deems just and equitable within the scope of this Agreement. The award of the arbitrator shall be final and binding and judgment thereon may be entered in any court having jurisdiction. The costs and expenses (including reasonable attorney's fees) of the prevailing party shall be borne and paid by the party that the arbitrator determines is the non-prevailing party.
